1. Eligibility: Restless Spy Challenge Sweepstakes (the “Sweepstakes”) is open to legal residents of the fifty (50) contiguous United States and the District of Columbia (excluding Puerto Rico, Guam, the U.S. Virgin Islands and other United States territories), who are at least twenty-one (18) years old at the time of entry and who have access to the internet and Sundance Channel prior to learning of this Sweepstakes. Void wherever prohibited by law. Employees of Sundance Channel L.L.C. (“Sponsor”) and their respective affiliates, parents, subsidiary companies, and advertising and promotion agencies, as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations

2. How to Enter: The Sweepstakes begins on December 3, 2012 at 10:01 a.m. Eastern Time ("ET") and ends on December 14, 2012 at 11:59 p.m. ET (the "Promotion Period"). Sundance Channel's computer is the official time-keeping device for the Sweepstakes. During the Promotion Period, visit http://www.sundancechannel.com/restless/challenge and follow the links and instructions to the registration form. In order to enter the Sweepstakes, potential entrants will be required to submit at least one (1) out of five (5) correct code words to complete the registration form and to enter the sweepstakes. To collect code words, go to Sundance Channel’s Twitter page (http://www.twitter.com/sundancechannel) or Facebook page (http://www.facebook.com/sundancechannel) at 2:00 p.m. ET any day during the Promotion Period for posts with clues on what the code word for the day is. All five (5) clues will be available on both Sundance Channel’s Facebook and Twitter pages. The first four (4) of the five (5) words will be hidden within Sundance Channel’s Twitter or Facebook pages. The fifth and final word will be revealed on Sundance Channel during the premiere airing of RESTLESS on December 7, 2012 at 9:00 p.m. ET/PT and repeated on December 14, 2012 at 9:00 p.m. ET/PT. A completed registration form with at least one (1) of the five correct code words entered correctly will qualify as an entry to the Sweepstakes. Limit: Five (5) different code word entries per person for the duration of the Promotion Period. Each code word needs to be placed in its correct entry field on the registration page. Code words can be submitted for registration one at a time or all at once for a total of five (5) entries. Multiple entrants are not permitted to share the same email address. Any attempt by any entrant to obtain more than five (5) entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified. Entries generated by script, macro, bot, or other automated means will be disqualified. In the event of a dispute as to the identity of an entrant, the authorized account holder of the e-mail account will be deemed to be the entrant. “Authorized account holder” of an e-mail address is the natural person in whose name the e-mail address has been issued. A selected winner may be asked to provide Sponsor with proof that the selected winner is the authorized account holder of the e-mail address associated with the winning entry. If a dispute cannot be resolved, the entry will be deemed ineligible. Use of automated devices not valid for entry. Entries become the exclusive property of the Sponsor and will not be returned. Entrants agree to be bound by and acknowledge compliance with these official rules (“Official Rules”) including eligibility requirements

3. Prizing: THREE (3) GRAND PRIZES: One (1) Fossil overnight bag filled with Sundance Channel spy swag, to include one (1): Minox miniature digital camera, Cloudveil down patrol jacket, trapper hat, cashmere scarf, long-sleeve shirt, T-shirt, tote bag, umbrella, travel mug, Restless: A Novel, journal, pen, and digi-clean wipe, and will be awarded to each of three (3) winners (each a “Grand Prize Winner”). Approximate Retail Value (“ARV”) of each prize: $1,000.00. Total ARV all prizes: $3,000.00. Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the prizes, or a component thereof, for prizes of equal or greater value if the designated prizes should become unavailable for any reason. Grand Prize Winners are responsible for all taxes and fees associated with prize receipt and/or use. Sponsor responsible only for prize delivery; not responsible for prize utility, quality or otherwise.
4. Prize Drawing: Grand Prize Winners will be selected in a random drawing on or about December 19, 2012, from all eligible entries received. The drawing will be conducted by Sponsor, whose decisions are final on all matters relating to the Sweepstakes. The Grand Prize Winners will be notified by e-mail using the contact information provided at time of entry. Sponsor will make ONE (1) attempt to contact each potential Grand Prize Winner who will have seventy-two (72) hours to respond to the -mail confirming eligibility requirements as described in Paragraph 1 above. Potential Grand Prize Winners will also be required to include their complete mailing address and telephone number in the response e-mail. If a potential Grand Prize Winner does not respond to the e-mail within this seventy-two (72) hour period, then, in Sponsor’s sole discretion, such potential Grand Prize Winner may be disqualified and an alternate may be determined from the remaining eligible Sweepstakes entries in a random drawing, time permitting. If Sponsor determines, in its sole discretion, that a potential Grand Prize Winner does not meet such eligibility requirements, he/she may be disqualified and an alternate Grand Prize Winner may be selected from the remaining eligible Sweepstakes entries in a random drawing, time permitting. Grand Prize Winners will be required to complete and return an Affidavit of Eligibility/Release of Liability which must be signed and received by Sponsor or its designated agent within three (3) business days of date printed on notification or the prize will be awarded to an alternate Grand Prize Winner in a random drawing from the remaining eligible Sweepstakes entries, time permitting. If any prize notification letter or any prize is returned as undeliverable, the prize will be awarded to an alternate winner selected in a random drawing, time permitting.

5. Odds: Odds of winning prize depend upon the number of eligible entries received. All prizes claimed will be awarded, provided a sufficient number of eligible entries is received. No more than the advertised number of prizes will be awarded.

6. Grand Prize Conditions: Each Grand Prize Winner is responsible for all federal, state, and local taxes (including income and withholding taxes) and all other costs associated with the prize acceptance and use not specified herein as being provided. No transfers of prizes, in whole or in part, will be permitted, except at Sponsors’ sole discretion.

7. General: This Sweepstakes offer is void where prohibited or restricted by law and is subject to applicable federal, state, local and municipal laws and regulations. Sponsor and Sponsor and its parent companies, subsidiaries, affiliates and their advertising, promotion and web design agencies, promotional suppliers, TV production partners and their respective officers, directors, employees, agents, shareholders, representatives, successors and assigns of each and any other individuals/entities associated with this Sweepstakes (collectively, including Sponsor, the “Promotion Entities”) are not responsible for late, lost, stolen, damaged, incorrect, incomplete, illegible, garbled, misaddressed, or misdirected entries, misrouted or scrambled transmissions or communications, for errors, omissions, interruptions, deletions, defects, or delays in operations or transmission of information, in each case whether arising by way of technical or other failures or malfunctions of telephone, Internet, computer hardware, software, communications devices, or transmission lines or data corruption, theft, destruction, unauthorized access to or alteration of entry materials, loss or otherwise. The Promotion Entities disclaim any liability for damage to any telephone or computer system resulting from participation in, or accessing or downloading information in connection with, this Sweepstakes, and Sponsor reserves the right, in its sole discretion, to modify, cancel, terminate or suspend this Sweepstakes should any virus, bug, technical failures, unauthorized human intervention or other causes beyond Sponsor’s control corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes. In the event of any cancellation, termination or suspension, a notice will be posted and a random drawing will be held from among all eligible entries received prior to such time. Sponsor reserves the right, in its sole discretion, to disqualify any entrant if his or her fraud or misconduct affects the integrity of the Sweepstakes. By participating in this Sweepstakes, each entrant and Grand Prize Winner accepts the conditions stated in these Official Rules, agrees to be bound by the decisions of the Sponsor and warrants that s/he is eligible to participate in this Sweepstakes. By submitting an entry in the Sweepstakes, each entrant acknowledges and agrees that Sponsor shall be permitted to use entry data for marketing purposes consistent with its privacy policy and applicable law. All entrants further agree that in the event of any third party claims, damages, losses or injuries, arising from or relating to this Sweepstakes, they will indemnify the Promotion Entities from any and all such claims, including the attorneys' fees related thereto. By accepting a prize, each Grand Prize Winner agrees to release the Promotion Entities, from any and all liability, loss or damages arising from or in connection with the awarding, receipt, and/or use or misuse of any prize or participation in any prize-related activities. The Promotion Entities are not responsible for typographical, printing, or other inadvertent errors in these Official Rules or in other materials related to the Sweepstakes. If, at the time of entering the Sweepstakes, a Grand Prize Winner was not of the legal age of majority in his/her state of residence (a “Minor”): (a) the Minor’s prize may be awarded in the name of such Minor’s parent or legal guardian, in Sponsor’s discretion, (b) any use of the Minor’s name, city, state, likeness will be subject to the prior written approval of such Minor’s parent or legal guardian, and (c) the Minor’s parent or legal guardian will be required to execute all documents required to be signed on the Minor’s behalf and all representations, acknowledgements, understandings, agreements, releases and the like made or to be made by a Minor hereunder shall be made or deemed to be made by the Minor’s parent/legal guardian.

8. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE, MANIPULATE OR UNDERMINE THE LEGITIMATE OPERATIONS OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

9. DISPUTES, GOVERNING LAW AND VENUE: ENTRANT AGREES THAT: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS SWEEPSTAKES OR ANY PRIZE AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION AND IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO PRINCIPLES OF CONFICTS OF LAW; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH ENTERING THIS SWEEPSTAKES, IF ANY, BUT IN NO EVENT WILL ENTRANT BE ENTITLED TO RECEIVE ATTORNEYS’ FEES OR BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES.

10. Privacy Policy: Any personally identifiable information collected during this Sweepstakes will be collected by Sponsor, or their affiliates, agents and marketers for purposes of the proper administration and fulfillment of the Sweepstakes as described in these Official Rules and in accordance with Sundance Channel’s Privacy Policy as stated at http://www.sundancechannel.com/about/privacy/. Acceptance of a Prize constitutes a waiver of any claims to compensation, royalties, or other remuneration for such use.

11. Winners’ Names: Each Grand Prize Winner’s name will be available after the Sweepstakes Period has ended.
