Official Rules The Ultimate Spectacle Sweepstakes NO PURCHASE NECESSARY
TO ENTER OR WIN. VOID IN PUERTO RICO AND WHERE PROHIBITED.

1) Eligibility: The Ultimate Spectacle Sweepstakes (the "Sweepstakes")
is open to legal residents of the 50 United States and the District of
Columbia who are 18 years of age or older at time of entry. Employees,
officers, directors (and their immediate families and those living in
their same household) of Sundance Channel L.L.C. ("Sponsor"), 
Marden-Kane, Inc. ("Administrator"), and each of their respective parent
companies, subsidiaries, affiliates, retailers, distributors, suppliers,
advertising, promotion and production agencies are not eligible to
participate or win.  Void in Puerto Rico and where prohibited.  The
sweepstakes is subject to all applicable federal, state, and local laws
and regulations.

2) How to Enter: The Sweepstakes begins at 12:01 A.M. Eastern Time (ET)
on December 1, 2008 and ends at 11:59 P.M. (ET) on January 31, 2009 (the
"Promotion Period".)  To enter, go to
www.sundancechannel.com/spectacle/sweepstakes, complete the official
entry form, and click to submit. Limit of one entry per registered user
per day during the promotion period.  The Sponsor, Administrator, and
any Internet access providers, their respective parents, affiliates,
divisions, and agencies and each of the foregoing entities' respective
employees, officers, directors, shareholders, and agents (the "Released
Parties") are not responsible for incorrect or inaccurate transfer of
entry information, human error, technical malfunctions, lost/delayed
data transmissions, omission, interruption, deletion, defect, line
failures of any telephone network, computer equipment, or software or
any combination thereof, inability to access web sites, damage to a
user's computer system (hardware and software) due to participation in
this Sweepstakes or any other problem or error that may occur, or for
late, lost, incomplete, stolen, misdirected, mechanically reproduced,
illegible, or incorrectly entered entries. Participants who submit
inaccurate entry data and/or exceed the entry limits may be excluded
from participation at any time during the promotion. All entries become
the property of the Sponsor. Any entry information collected from the
Sweepstakes shall be used only in a manner consistent with the consent
given by entrants at the time of entry, with these Official Rules, and
with Sponsor's Online Privacy Policy which can be found at
sundancechannel.com.  Sponsor has contracted Marden-Kane, an independent
third party sweepstakes administrator.  The entry information is shared
with Marden-Kane for the sole purpose of the selection, notification,
and the fulfillment of the Grand Prize. Entrants agree to be bound by
these rules and consent to use of their names and/or photographs for
advertising or publicity purposes by Sponsor and its designees in any
and all media without further consideration, except where prohibited by
law.

3) Prize Drawing/Notification: A random drawing to select one potential
Grand Prize winner from among all eligible entries received will be
conducted on or about February 7, 2009. Drawing will be conducted by
Marden-Kane Inc., an independent judging organization whose decisions
are final and binding on all matters relating to this Sweepstakes. 
Potential winner is subject to eligibility verification and compliance
with these official rules.  Marden-Kane will notify potential winner by
regular mail, email, or telephone within seven (7) days of the prize
drawing.  Potential winner (or potential winner's parent or legal
guardian if potential winner is not of the age of majority in his or her
state of residence) will be required to sign, have notarized and return
to Marden-Kane an affidavit of eligibility/release of liability, and,
where legal, a publicity release within fourteen (14) days of issuance
of notification. Failure to complete and return the documents in the
time noted or if prize notification is undeliverable will result in
disqualification and an alternate winner will be selected and notified. 
Grand Prize winner must be 18 years of age or older.  Acceptance of the
prize constitutes permission for the Sponsor and its designees to use
winner's name and likeness for advertising and promotional purposes
without additional compensation unless prohibited by law.  Odds of
winning prize are subject to the total number of eligible entries
received.

4) Prize: One Grand Prize winner will receive an Epiphone Les Paul
Special II guitar autographed by Elton John and Elvis Costello;
Approximate Retail Value (ARV) is $269.  All taxes, if any, and other
expenses relating to acceptance of Grand Prize are responsibility of
Grand Prize winner.  All details of prize not specified herein shall be
determined solely by Sponsor. No prize substitution or transfer of prize
permitted except at the sole discretion of the Sponsor due to prize
unavailability. Any and all guarantees and warranties for merchandise
prize is subject to the manufacturer's terms and conditions, and winner
agrees to look solely to such manufacturer for any such warranty or
guarantee claim.

5) Limitations of Liability: Each participant agrees (i) to abide by the
terms of these Official Rules and the decisions of the Sponsor and
judges which are final and binding on all matters relating to this
Sweepstakes, and (ii) to release, discharge, indemnify and hold harmless
the Released Parties from any & all claims, actions, and/or liability
for any injuries, loss or damage of any kind arising from or in
connection with participation in and/or for entry into this Sweepstakes,
any related activities, or acceptance or use of any prize won.

6) General Conditions: If for any reason this Sweepstakes is not capable
of running as planned due to infection by computer virus, bugs,
tampering, unauthorized intervention, fraud, technical failures, or any
other causes beyond the control of the Sponsor which corrupt or affect
the administration, security, fairness, integrity or proper conduct of
this Sweepstakes, the Sponsor reserves the right at its sole discretion,
to disqualify any individual who tampers with the entry process, and to
cancel, terminate, modify or suspend the Sweepstakes.  Should this
Sweepstakes be terminated, Sponsor reserves the right to select
potential winner in a random drawing from among all eligible,
non-suspect entries received as of the action requiring such
termination.  Released Parties are not responsible for any problems or
technical malfunction of any computer system, server, or service
providers, computer equipment, software, failure of any entry to be
received by Sponsor on account of technical problems, human error or any
combination thereof, including any injury or damage to participant's or
any other person's computer equipment relating to or resulting from
participation in this sweepstakes.  In the event of a dispute as to who
submitted an online entry, the entry will be deemed submitted by the
authorized account holder of the email address submitted at the time of
entry.  "Authorized account holder" is defined as the person assigned to
an email address by an Internet access provider, online service provider
or other organization responsible for assigning email addresses for the
domain associated with the email address in question.  CAUTION: ANY
ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF
THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD
SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES
OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO
THE FULLEST EXTENT PERMITTED BY LAW.

7) Winners List: For the name of winner, available after February 28,
2009, send a stamped, self-addressed envelope to Ultimate Spectacle
Sweeps Winner, c/o Marden-Kane, Dept. MB, 36 Maple Place, Manhasset, NY
11030.  Requests received after April 30, 2009 will not be honored.

8) Sponsor/Administrator: The Sponsor of this Sweepstakes is Sundance
Channel L.L.C., 1633 Broadway, New York, NY 10019.  The Administrator is
Marden-Kane, Inc., 36 Maple Place, Manhasset, NY 11030.
